    How to read a private company data room

    TL;DR

    A data room is not a book to read cover to cover. Work through five folders in order: financials, commercial, legal, tech, people. Look for what is missing as much as what is there.

    The order to work through it

    1. Financials. Audited statements, management accounts, revenue by cohort or customer, unit economics, cash and debt.

    2. Commercial. Contracts, pipeline, churn, top-customer concentration.

    3. Legal. Cap table, IP assignments, material contracts, litigation.

    4. Technology. Architecture, dependencies, security posture.

    5. People. Org chart, key employees, compensation, references.

    Common red flags

    Missing months in the management accounts. Revenue recognition that is not consistent. A cap table that does not tie to option grants. Any material contract that is one-sided. References management does not want you to speak to.
