    A Hong Kong Limited Partnership Fund (LPF) is a closed-ended fund structure created by the Limited Partnership Fund Ordinance (Cap. 637), which took effect in August 2020. It gives Hong Kong its own onshore vehicle for private equity, venture capital, private credit and real assets, without needing a Cayman feeder for the fund itself.

    Before the LPF, Hong Kong managers ran their funds almost entirely as Cayman Exempted Limited Partnerships (ELPs). The LPF closed the gap.     The manager of an LPF sits under the Securities and Futures Ordinance (Cap. 571), most commonly holding a Type 9 (asset management) licence from the SFC. Investor eligibility, AML and KYC obligations are handled at the manager level; the LPF itself is not a licensed entity.

    LPFs are exempt from Hong Kong profits tax on qualifying transactions under the Unified Fund Exemption regime, subject to specified conditions. Registration is with the Hong Kong Companies Registry, not the SFC. Audit and record-keeping are annual and permanent obligations.
