    What does an auditable due diligence trail need to contain?

    Enough to answer, years later, what the fund knew at the time and what process it followed. In practice that means five things: the documents relied on and their versions, the claims extracted from them with a reference to each source, the tier of each claim as self-reported, verified or triangulated, the risks and open questions recorded as unresolved rather than assumed away, and the decision itself with who took it and on what basis. A document archive alone is not a trail, because it preserves the inputs without preserving the reasoning.

    Most funds believe they have an audit trail because they kept the data room. What they have is storage. When an LP or an auditor asks why a position was taken, the archive can show which documents existed but not which of them the decision actually rested on, nor what the team believed was still unverified at the time.

    The distinction matters most when a deal goes badly. The defensible answer is not that the outcome was unforeseeable. It is that the process was followed, the risks were identified and the committee accepted them knowingly. That answer only exists if the record captured the open risks at the point of decision.
