    Who is in the room

    The IC (usually 3 to 7 senior partners), the deal team (analyst, associate, VP, partner sponsor), and sometimes an external observer or LP advisory board member for larger deals.

    How the meeting flows

    Pre-read. IC reads the memo before the meeting. If you make them read it in the room, you have already lost.

    Presentation. Deal team walks through the recommendation, thesis, key diligence findings and risks. 20 to 45 minutes.

    Debate. Committee stress-tests the thesis, the model and the risks. This is where most of the value is created.
